Acceptable Use Policy

1. Introduction

This Acceptable Use Policy (the “Policy”) governs the access to and use of Seek’s Insight Cloud Platform (the “Platform”) and its public-facing website(s), including https://seekinsights.com/ (the “Seek Site”). This Policy is incorporated by reference into the Seek Terms & Conditions. Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Master Platform Terms (the “Master Terms”). Seek reserves the right to modify this Policy from time to time by posting a revised version on the Seek Site with or without notice to Customer.

2. Customer Responsibilities

In connection with the use of the Platform and the Seek Site, Customer and its Authorized Users must:

  • comply with the Master Terms, including the terms of this Policy;

  • comply with all applicable laws and governmental regulations, including, but not limited to, intellectual property, data, privacy, and export control laws;

  • upload and disseminate only data to which Customer owns all required rights;

  • use commercially reasonable efforts to prevent unauthorized access to or use of the Platform and the Seek Site;

  • keep passwords and all other login information confidential;

  • monitor and control all activity conducted through Customer’s and its Authorized Users’ accounts;

  • promptly notify Seek of any suspected security breach or unauthorized access;

  • comply with all applicable Third-Party Terms for any Third-Party Applications integrated with the Platform; and

  • ensure that the email address associated with the Customer’s and its Authorized Users’ accounts remain current and valid.

3. Prohibited Uses

Customer shall not, and shall not allow any third party (including Authorized Users) to use the Platform or the Seek Site:

  • for any purpose unless such party is specifically authorized to access and use the Platform or Seek Site;

  • for any illegal or fraudulent activity;

  • to violate the rights of others, including intellectual or proprietary rights;

  • to upload or transmit any virus, Trojan horse, worm, or other harmful component;

  • to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Platform or Seek Site;

  • in order to build a similar or competitive product or service or copy any ideas, features, functions, or graphics;

  • as a managed service provider;

  • to threaten, incite, promote, or actively encourage violence, terrorism, or other serious harm;

  • for any content or activity that promotes child sexual exploitation or abuse;

  • to distribute, publish, send, or facilitate the sending of "spam" or unsolicited mass messages;

  • in any manner that violates applicable industry standards or third-party policies communicated by Seek;

  • in connection with web scraping, web crawling, web monitoring, or other similar activity;

  • in a manner that would disparage Seek; or

  • in any manner which would permit, enable, induce, or encourage any third party to do any of the above.

4. Investigation and Enforcement

Seek may investigate any suspected violation of this Policy and remove or disable access to the Platform, the Seek Site, or any content that violates this Policy. Any violation of this Policy will be considered a material breach of the Master Terms. Customer agrees to cooperate with Seek to remedy any violation. When determining whether a violation has occurred, Seek may consider Customer’s ability and willingness to comply with this Policy, including the processes in place to prevent or identify prohibited activity.
