Agentic AI Feature Terms
1. Introduction
These Agentic AI Service Terms (the “AI Terms”) govern Customer’s access to and use of generative artificial intelligence features, autonomous agents, and large language models provided via the Platform (collectively, “Agentic AI Features”). These AI Terms are “Service Terms” as defined in and incorporated by reference into the Seek Terms & Conditions. Capitalized terms used but not otherwise defined herein shall have the meanings ascribed to them in the Master Platform Terms (the “Master Terms”). Seek reserves the right to modify these AI Terms from time to time with or without notice to Customer.
2. Overview & Scope
2.1 AI Agents
The Platform provides artificial intelligence-enabled features (“AI Agents”) designed to assist Customer’s Authorized Users in analyzing and summarizing analytics results generated by Applications (such as Seek Applications or Third-Party Applications). AI Agents operate exclusively on the analytics outputs generated by such Applications (“App Data”) and do not access or analyze raw or underlying source data. Outputs from the AI Agent are referred to herein as “Outputs”.
2.2 How Seek’s AI Agents Work
When an Authorized User submits a request to an AI Agent, the feature is designed to: (i) analyze App Data specifically from Applications to which the Customer maintains an active Subscription; (ii) incorporate other approved, Platform-generated outputs to provide relevant context; and (iii) generate interpretive, descriptive, or summary outputs solely for informational purposes.
AI Agents are strictly limited in scope and are not designed to: (i) access, retrieve, or operate upon underlying, raw, or source data provided by Third-Party Providers (“Raw Data”); (ii) facilitate the viewing, reconstruction, or inference of regulated, personal, or confidential data not otherwise accessible to the user; or (iii) perform automated decision-making or take autonomous actions that bind the Customer or Seek.
2.3 Changes to AI Agent Features
Seek may modify, enhance, or discontinue AI Agent features at any time with or without notice to Customer.
3. Subscription Requirements
Access to AI Agents is a premium feature available only to Customers who contract for this feature in addition to their Application Subscriptions. Interaction with AI Agents is limited to App Data generated by Applications to which the Customer maintains an active Subscription. Upon termination or expiration of an Application Subscription, AI Agents will no longer reference or incorporate App Data from that Application, regardless of whether the AI Agent feature itself remains active or is otherwise available to Customer’s Authorized Users within the Platform.
4. Intended Use & Restrictions
AI Agents are provided for informational purposes to support analytical workflows. Outputs do not constitute legal, financial, medical, or other professional advice and should not be relied upon by Customer or its Authorized Users as the sole basis for decisions requiring their professional judgment. Customer and its Authorized Users shall not use AI Agents or Outputs to: (i) attempt to reverse-engineer or infer underlying Application models or raw data; (ii) perform profiling or classification of individuals; (iii) make decisions producing legal, financial, or healthcare effects; or (iv) circumvent subscription, licensing, or access controls; (v) submit prompts intended to elicit restricted, sensitive, or regulated data; or (vi) represent AI Agent Outputs as verified or authoritative. Seek may suspend any Authorized User’s and/or the Customer’s Platform Access or access to the AI Agents for any violation of these restrictions by Customer or its Authorized Users.
5. Disclaimers
Customer acknowledges that AI Agent’s Outputs are generated automatically and may be incomplete, inaccurate, or outdated (commonly referred to as "hallucinations"). Seek does not guarantee the correctness or fitness of any AI Agent Outputs. AI AGENTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. Seek disclaims all warranties of accuracy, fitness for a particular purpose, and non-infringement.
6. Data Usage & Model Training
Seek does not use Customer prompts, App Data, or Outputs to train or improve its foundational artificial intelligence or machine learning models. Interactions are processed on a transient basis solely to deliver the functionality to the Customer.
7. Availability & Intellectual Property
7.1 Usage and Availability
Seek reserves the right to: (i) establish usage limits for AI Agent interactions (e.g., token limits or request caps); (ii) modify, suspend, or discontinue AI Agent features; and (iii) restrict access to prevent abuse, misuse, or system degradation.
7.2 Intellectual Property
AI Agent Outputs and App Data are provided as part of the Platform and the applicable Subscription. Nothing in these AI Terms shall be construed as a transfer of ownership of: (i) the intellectual property of Seek or any Third-Party Provider; (ii) any Applications or underlying analytics models; or (iii) any proprietary data, result sets, or methodologies utilized by the Platform.
8. Indemnification & Limitation of Liability
In addition to the obligations set forth in Section 7.1 of the Master Terms, Customer shall indemnify, defend, and hold harmless Seek and its Third-Party Providers from and against any and all claims, damages, or liabilities arising out of or related to: (i) Customer’s or its Authorized Users’ use of Outputs in a manner that violates these AI Terms, any third-party’s rights, or applicable law; and (ii) Customer’s failure to provide any required disclosures to its own Authorized Users regarding the use of Outputs. To the maximum extent permitted by law, Seek shall not be liable for any decisions made or actions taken by Customer in reliance upon Outputs from AI Agents. Seek’s total liability for AI Agent features is subject to the limitations set forth in Section 7.1 of the Master Terms.
